Eventtus reserves the right to remove any User Content from the Site at any time for any reason, (including, but not limited to, intellectual property rights breaches, receipt of credible claims or allegations, from third parties or governmental authorities, of infringement or misrepresentation relating to User Content) or for no reason. In addition, you agree that Eventtus may use your name and logo (whether or not you have made it available through the Site) for the purpose of identifying you as an existing or past customer of Eventtus both on the Site and in marketing and promotional materials.

7. Content Submissions

Content may be submitted by either (i) non-commercial consumers of the Services (“Consumer” or “Consumers”)) or (ii) commercial organizers of events listed on the Site (“Organizer” or “Organizers”). A Consumer is individual, not a group, organization nor a promoter, who uses the Site and the Services for their personal enjoyment and not for any monetary gain. An Organizer may be an individual or a group or organization, that is organizing event to which they wish to invite other individuals to attend and that posts information about the event on the Site. For purposes of this Terms of Use Agreement, Consumers and Organizers are collectively defined as “Users”. We may use your Consumer or Organizer Submissions in a number of different ways in connection with the Site, Service and Eventtus’ business as Eventtus may determine in its sole discretion, including but not limited to, publicly displaying it, reformatting it, incorporating it into marketing materials, advertisements and other works, creating derivative works from it (excluding Organizer Submissions), promoting it, distributing it, and allowing other users to do the same in connection with their own websites, media platforms, and applications (“Third Party Media”). Eventtus reserves the right and sole discretion to: i. Censor any Account hosted on its servers that conduct any inappropriate acts. ii. Review any account for excessive space or bandwidth utilization and to suspend service to those accounts that have exceeded allowed levels. iii. Terminate any account for non-payment of fees, for providing fraudulent account information or fraudulent payment information. iv. Terminate any account if the contents of it results in, or are the subject of, legal action or threatened legal action against Eventtus or any of its affiliates or partners, without consideration for whether such legal action or threatened legal action is eventually determined to be with or without merit. v. Terminate any account for unsolicited, commercial e-mailing (i.e., Spam), illegal access to other computers or networks (i.e., hacking), distribution of Internet viruses or similar destructive activities, activities whether lawful or unlawful that Ibxone.com determines to be harmful to its other customers, operations or reputation, or for any breach of this agreement. vi. Suspend the Service at any time for any duration of time when necessary, without penalty or liability to ourselves. You agree that it may be necessary for us to temporarily suspend the Service for technical reasons or to maintain network equipment or facilities.

18. Limitation of Liability

As we previously mentioned the Service is provided on an “as is” and “as available” basis and the use of the Service is at your own risk. Eventtus makes no representations or warranties, either expressed or implied, with respect to any provided service or information. Eventtus is not responsible for any or any loss of data, use, good-will, or other intangible losses, resulting from (i) your access to or use of the services, and/or the inability to access or use the services; (ii) any conduct or content of any third party on the services, including without limitation, any defamatory, offensive or illegal conduct of other users or third parties; (iii) any content obtained from the services; or (iv) unauthorized access, use or alteration of your transmissions or content damages, injury or the use of the content or Service provided by Eventtus. In no event will Eventtus be liable to you for any direct, indirect, incidental, special, consequential or punitive damages, or economic loss arising out of the Service or in connection with you or any other services provided to you, and any loss of profits or revenues, whether incurred directly or indirectly. Eventtus, its officers, directors, owners, agents and employees shall in no way be liable to you or anyone else for any loss or injury resulting from the use of the Services. In no event shall Eventtus be held liable for any damages or economic loss, whatsoever, as a result of notifying any official of potentially illegal content on your website, or for providing copies of your data files to the appropriate authorities or cooperating with law enforcement efforts to locate persons who have posted content that is illegal or promotes illegal conduct.

19. Indemnification

You agree to indemnify and hold Eventtus, its affiliates, sponsors, partners, directors, officers and employees harmless from and against, and to reimburse Eventtus with respect to, any and all losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to your breach of this Agreement or use by you or any third party of the Services. Moreover, Eventtus reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with Eventtus in asserting any available defenses.

20. Force Majeure

Eventtus will not be liable for any delay, interruption or failure in the provisioning of services if caused by acts of God, including but not limited to: declared or undeclared war, fire, flood, storm, slide, earthquake, power failure, the inability to obtain equipment, supplies or other facilities that are not caused by a failure to pay, labor disputes, or other similar events beyond our control that may prevent or delay service provisioning. Furthermore, Eventtus shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Eventtus’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including “line-noise” interference). These Terms of Use are personal to you, and are not assignable, transferable or sublicensable by you except with Eventtus’ prior written consent. Eventtus may assign, transfer or delegate any of its rights and obligations hereunder without consent. No agency, partnership, joint venture, or employment relationship is created as a result of these Terms of Use and neither party has any authority of any kind to bind the other in any respect.

21. Unenforceable Provisions

If any part of this Agreement is found to be invalid or unenforceable under applicable laws, such part will be ineffective to the extent of such invalid or unenforceable part only, without affecting the remaining parts of this Agreement in any way.

22. Governing Law

The rights and obligations of the parties pursuant to this Agreement are governed by, and shall be construed in accordance with, the laws of the United Arab Emirates as it’s our country of domicile. You may be subject to other local, provincial or state and national laws. You hereby irrevocably submit to the exclusive jurisdiction of the Courts of the United Arab Emirates for any dispute arising under or relating to this Agreement and waive your right to institute legal proceedings in any other jurisdiction. We shall be entitled to institute legal proceedings in connection with any matter arising under this Agreement in any jurisdiction where you reside, do business or have assets.

23. Eligibility

The Site, Application and Services are intended solely for persons who reached the age of 13 years old or older. If you are under 13, you may use these items ONLY WITH THE INVOLVEMENT of a parent or guardian. Any access to or use of the Site, Application or Services by anyone under 13 is expressly prohibited. By accessing or using the Site, Application or Services you represent and warrant that you are of 13 years of age or older.

24. Waiver

No waiver of any of the provisions of this Agreement will be deemed to constitute a waiver of any other provision nor shall such a waiver constitute a continuing waiver unless otherwise expressly provided in writing duly executed by the party to be bound thereby.

25. Integration and Severability

These Terms of Use are the entire agreement between you and Eventtus with respect to the Service and use of the Site, Service, Content, User Submissions or Add-to Link, and supersede all prior or contemporaneous communications and proposals (whether oral, written or electronic) between you and Eventtus with respect to the Site. If any provision of these Terms of Use is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Use will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. Waiver of compliance in any particular instance does not mean that we will waive compliance in the future. In order for any waiver of compliance with these Terms of Use to be binding, Eventtus must provide you with written notice of such waiver through one of its authorized representatives.

26. Modification of Terms of Use

Eventtus reserves the right, at its sole discretion, to modify or replace any of these Terms of Use, or change, suspend, or discontinue the Service (including without limitation, the availability of any feature, database, or content) at any time by posting a notice on the Site or by sending you notice through the Service or via email. Eventtus may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Service following the posting of any changes to these Terms of Use constitutes acceptance of those changes.

27. Entire Agreement

This Agreement along with the Eventtus privacy policy, as may be updated from time to time and posted at eventtus.com, constitutes the complete agreement and understanding between us with respect to the Service and supersedes any other form of Agreement. EVENTTUS.COM- May 2018.
